Non-Disclosure Agreement

Between the undersigned

Party A: Party A name, located at Party A address, represented by Party A representative.

Party B: Party B name, located at Party B address, represented by Party B representative.

Preamble

In the context of Context of exchanges, the Parties are required to exchange confidential information. The purpose of this agreement is to define the conditions for the disclosure and protection of such information.

Article 1 – Definition of confidential information

All information, in any form (written, oral, electronic), communicated by one Party to the other shall be considered confidential, including but not limited to: Examples of confidential information.

Article 2 – Obligations

Each Party agrees to:

• Not disclose confidential information to third parties without prior written consent
• Restrict access to information to only those persons who need to know
• Protect the information with the same degree of care as its own confidential information

Article 3 – Exclusions

The following shall not be considered confidential: information already known to the receiving Party, information that has become public through no fault of the receiving Party, information lawfully obtained from a third party not bound by a confidentiality obligation.

Article 4 – Duration

This agreement takes effect on Effective date and the confidentiality obligations shall remain in force for Confidentiality duration after the end of exchanges between the Parties.

Article 5 – Applicable law

This agreement is governed by French law. Any dispute shall be submitted to the courts of Competent court.
